Terms of Service

Acceptance of Terms
These Terms are an agreement between you and GIGWIZE LLC, a Utah limited liability company ("GigWize," "we," "us," or "our"). By accessing or using GigWize's website or mobile app (together, the "Service"), you agree to be bound by these Terms of Service and by our Privacy Policy. If you do not agree, do not use the Service. You must be at least 18 years old to use the Service.
Description of the Service
GigWize helps organizations staff events and track pay for the people who work them — inviting staff, assigning them to event positions, and recording pay. The Service records and tracks pay amounts; it does not itself pay staff or move money to them. Payment of staff is handled by the organization outside the Service.
Accounts
Staff accounts are created by invitation from an organization, not by open self-registration. We sign you in with a one-time code sent to your email; keep your email account secure and do not share your codes. You are responsible for the accuracy of your account information and for activity that occurs under your account.
Relationship Between Users
GigWize is a software tool. We are not the employer, staffing agency, or payer of any staff, and we are not a party to any arrangement between an organization and its staff. Organizations are solely responsible for their staffing decisions and for classifying and paying their staff in compliance with all applicable employment, labor, tax, and wage laws.
Subscriptions, Pricing, and Billing
The Service is offered to organizations on a subscription basis. Current plans and prices are shown in-app and on our pricing page. Some plans also include usage-based fees — for example, a fee for each event created — which are metered over your billing period. Subscriptions are billed through Stripe; by subscribing, you authorize us and Stripe to charge your payment method for the applicable subscription and usage fees.
- Automatic renewal. Subscriptions renew automatically at the end of each billing period at the then-current price until cancelled. You can manage or cancel your subscription at any time through the billing portal; cancellation takes effect at the end of the current billing period.
- Refunds. Fees are non-refundable except where required by law. Cancelling stops future charges but does not refund the current period.
- Price changes. We may change prices or fees; we will give at least 30 days' notice before a change takes effect, and continued use after that constitutes acceptance.
- Taxes. You are responsible for any applicable taxes other than taxes on our income.
Your Content
You keep ownership of the content you submit, such as messages and images. You grant GigWize a limited license to host, store, process, and display that content as needed to operate the Service for you and your organization. You are responsible for your content and for having the rights to submit it. Within an organization, your content and contact information are visible to that organization's admins and staff.
Acceptable Use
You agree not to:
- use the Service for any unlawful purpose;
- upload or share content that is unlawful, infringing, harassing, or harmful;
- attempt to access accounts, events, or pay data that are not yours or your organization's;
- probe, scan, disrupt, overload, or circumvent security or rate limits;
- scrape, reverse-engineer, or resell the Service except as permitted by law.
Intellectual Property
The Service, including its software, design, and trademarks, is owned by GigWize and its licensors and is protected by law. These Terms do not grant you any right in our intellectual property except the limited right to use the Service.
Suspension and Termination
You may stop using the Service at any time. We may suspend or terminate access for violation of these Terms, or where required for security or legal reasons, and an organization may deactivate a staff member's account at any time. When an account or organization is deleted, associated personal data is deleted as described in the Privacy Policy.
Disclaimers and Limitation of Liability
The Service is provided "as is" and "as available," without warranties of any kind to the fullest extent permitted by law. We do not warrant that the Service will be uninterrupted, error-free, or secure. To the maximum extent permitted by law, GigWize is not liable for indirect, incidental, special, or consequential damages, or for lost profits or data, arising from your use of the Service. Our total liability for any claim relating to the Service will not exceed the fees you paid to us in the 12 months before the event giving rise to the claim. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.
Indemnification
You (and, if you use the Service on behalf of an organization, that organization) agree to indemnify and hold GigWize harmless from claims, damages, and expenses arising out of your content, your use of the Service, your staffing or employment decisions, or your violation of these Terms or of any law.
Governing Law
These Terms are governed by the laws of the State of Utah, without regard to conflict-of-laws rules, and the parties submit to the exclusive jurisdiction of the state and federal courts located in the State of Utah.
General
These Terms are the entire agreement between you and GigWize regarding the Service and supersede any prior agreements. If any provision is held unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
Changes to These Terms
We may update these Terms from time to time. For material changes we will provide reasonable notice, and continued use of the Service after a change constitutes acceptance of the updated Terms.
